Constitution
§1. Name and registered office
1. The name of the association is Kizomba Semba Community CPH
2. The association's registered office is Copenhagen.
§2. Purpose
The association's purpose is to promote interest in and enjoyment of kizomba and semba among Copenhageners by:
1. Hold social dance events, parties and festivals.
2. Offer dance lessons and workshops.
3. Create an inclusive and safe dance environment.
4. Strengthen the cultural community around Afro-Lusophone dance forms.
§3. Membership
1. Anyone who wishes to support the association's objectives may be admitted as a member.
2. Membership is obtained by payment of a membership fee.
3. Members may be excluded by the board if their behavior is significantly detrimental to the association.
§4. Quota
1. The amount of the quota is determined by the general meeting.
2. The fee is charged annually.
§5. General Assembly
1. The general meeting is the association's supreme authority.
2. The Ordinary General Meeting is held once a year before the end of March.
3. Notice must be given in writing with at least 3 weeks' notice.
4. Proposals for consideration must be received by the board of directors no later than 1 week before the general meeting.
5. Decisions are taken by simple majority.
§6. The Board of Directors
1. The association is led by a board of directors of at least 2 and at most 5 members: chairman, vice-chairman, treasurer and possibly ordinary members.
2. The board of directors is elected for 1 year at a time.
3. The board of directors constitutes itself immediately after the general meeting.
4. The board of directors has a quorum when more than half are present.
§7. Finance and liability
1. The association is only liable with its own assets.
2. Members cannot be personally liable for the obligations of the association.
3. The association's financial year follows the calendar year.
§8. Drawing rule
The association is jointly signed by the chairman and the treasurer.
§9. Amendments to the articles of association
Amendments to the statutes require a 2/3 majority at a general meeting.
§10. Dissolution
1. A resolution to dissolve requires a 2/3 majority at two consecutive general meetings.
2. Upon dissolution, the association's funds shall be transferred to a non-profit organization with a cultural purpose.
